These Terms and Conditions (“Terms”) govern your access to and use of the ThryveLog mobile application, website, and related services (collectively, the “Service”), operated by ThryveLog Inc., a corporation registered in the State of Delaware, United States (“ThryveLog”, “we”, “us”, or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

2. Eligibility

You must be at least 13 years old to use ThryveLog.

By using the Service, you confirm that:

• You are at least 13 years old.
• If you are under the age of majority in your jurisdiction, you have permission from a parent or legal guardian.
• You have the legal capacity to enter into these Terms.

3. Accounts

To use certain features of the Service, you must create an account.
You agree to:

• Provide accurate and complete information.
• Keep your login credentials confidential.
• Accept responsibility for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account or security breach.

4. User Content

4.1 Ownership

You retain full ownership of all content you create, upload, or store in ThryveLog, including journal entries, notes, tasks, and other personal information (“User Content”). ThryveLog does not claim ownership of your User Content.

4.2 License to Operate the Service

By using the Service, you grant ThryveLog a limited, non exclusive, royalty free license to host, store, process, and display your User Content solely for the purpose of operating, maintaining, and improving the Service.
This license ends when your content is deleted or your account is permanently deleted, except where retention is required by law.

4.3 Responsibility for Content

You are solely responsible for your User Content and for ensuring that it does not violate applicable laws or the rights of others.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose.
• Interfere with or disrupt the Service or its security.
• Attempt to gain unauthorized access to systems or data.
• Reverse engineer, decompile, or attempt to extract source code.
• Use automated means to access the Service without permission.=

We reserve the right to suspend or terminate accounts that violate these Terms.

6. Subscriptions, Trials, and Payments

ThryveLog offers paid subscription plans.

• Subscriptions are billed exclusively through the Apple App Store.
• Pricing, billing cycles, renewals, and cancellations are managed by Apple.
• Subscriptions automatically renew unless canceled through your Apple account settings.

Free Trial

We may offer a 30 day free trial at our discretion. At the end of the trial period, your subscription will automatically convert to a paid subscription unless canceled before the trial ends.
Trial availability, duration, and eligibility are determined by Apple and may change.

Refunds

Payments and refunds are handled by Apple in accordance with their policies. ThryveLog does not control or process refunds.

7. Intellectual Property

All rights, title, and interest in the Service, including software, design, trademarks, logos, and branding, are owned by ThryveLog Inc. or its licensors.

You may not copy, modify, distribute, or create derivative works from any part of the Service without prior written consent.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect personal information.

By using ThryveLog, you acknowledge that you have read and understood the Privacy Policy.

9. No Professional Advice

ThryveLog is intended for personal journaling, planning, and self reflection only.

The Service does not provide medical, psychological, legal, financial, or professional advice. You should not rely on the Service as a substitute for professional guidance.

10. Service Availability and Changes

We may modify, suspend, or discontinue the Service or any part of it at any time.

We do not guarantee uninterrupted or error free operation of the Service and are not liable for service interruptions or changes.

11. Account Deletion and Termination

You may request deletion of your account at any time through the Service.

Account deletion is delayed and may take a reasonable period of time to complete. During this period, your data may remain stored but will not be actively used.

We may suspend or terminate your access if you violate these Terms or if required by law.

12. Disclaimers

The Service is provided “as is” and “as available”.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non infringement.

13. Limitation of Liability

To the maximum extent permitted by law, ThryveLog Inc. shall not be liable for any indirect, incidental, consequential, or special damages arising out of your use of or inability to use the Service.

Our total liability for any claim related to the Service shall not exceed the amount paid by you in the twelve months preceding the claim, or zero if no payment was made.

14. Indemnification

You agree to indemnify and hold harmless ThryveLog Inc. from any claims, losses, liabilities, damages, and expenses arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your User Content.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

16. Changes to These Terms

We may update these Terms from time to time.

If material changes are made, we will notify users through the Service or other reasonable means. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
